Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and CMOON PTE. LTD., the Singapore company that operates Kairosy (“Kairosy”, “we”, “us”, “our”). By creating an account, clicking to accept, or otherwise accessing or using Kairosy, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Kairosy.

You must be at least 18 years old and able to form a binding contract. Kairosy is intended for business and professional use and is not a consumer product. If you use Kairosy on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization.

Kairosy analyzes how AI answer engines (such as ChatGPT, Gemini, Claude, and Perplexity) may describe, rate, or recommend a brand or website, and presents reports, scores, themes, sources, competitor mentions, and suggestions (together, the “Output”).

The Output is informational and is produced using artificial intelligence. It is an estimate of how certain models may respond at a particular moment — not a statement of fact, an audit, or a certification. We do not warrant that the Output is accurate, complete, current, or fit for any purpose, and we do not promise any particular result, score, ranking, visibility, traffic, or improvement in how any AI system or person perceives your brand.

The Output is not professional, legal, financial, marketing, or business advice. You are solely responsible for any decision or action you take based on it.

The Output is derived from third-party AI models and services that we do not own or control. Those models are operated by third parties, change frequently and without notice, and may produce inaccurate, biased, outdated, or inconsistent results, or may be unavailable. As a result, scores and findings will vary — sometimes significantly — between scans, even for the same brand at the same time.

We are not affiliated with, endorsed by, or sponsored by OpenAI, Google, Anthropic, Perplexity, or any other AI or technology provider. All third-party names and trademarks belong to their respective owners and are used only to identify the engines queried. We are not responsible for any third-party service, its outputs, its terms, or its availability.

You agree to provide accurate information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account, and you will notify us promptly of any unauthorized use. We may refuse, suspend, reclaim, or remove any account or username at our discretion.

You agree to use Kairosy only for lawful business purposes, and only to research brands or websites that you own or are otherwise authorized to research. You will not:

• violate any law or infringe or misappropriate any third party’s rights;

• harass, defame, impersonate, or mislead anyone, or use the Output to do so;

• copy, resell, sublicense, white-label, or redistribute the service or Output except as expressly permitted by your plan;

• reverse engineer, decompile, scrape, or attempt to access the service or its underlying models other than through the interfaces we provide;

• circumvent or exceed usage limits or quotas, overload the service, or send automated or high-volume requests; or

• upload or transmit anything unlawful, infringing, deceptive, or malicious.

We may set, change, and enforce rate and usage limits, and may investigate suspected violations and take any action we consider appropriate, including suspension or termination, with or without notice.

Kairosy offers a free tier and paid subscription plans. Paid plans are billed in advance and renew automatically at the end of each billing period at the then-current price until you cancel. You authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis.

You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds, credits, or proration for partial periods, unused scans, downgrades, or unused time.

We may change prices, plans, features, and limits (including scan quotas and monitoring frequency) at any time; price changes apply from your next renewal. You are responsible for all applicable taxes. If a charge fails or is reversed, we may suspend, downgrade, or terminate your access.

Free, trial, beta, and complimentary access may be limited, changed, suspended, or withdrawn at any time, with or without notice, and is provided “as is”.

Kairosy and its licensors own all right, title, and interest in and to the service, including the software, design, the format and presentation of reports, the scoring and analysis methodology, and all related content (other than Your Content). Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Kairosy and the Output for your own internal business purposes. No rights are granted except as expressly stated.

You retain ownership of the brands, websites, and other inputs you submit (“Your Content”). You grant us a worldwide, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, and use Your Content and the resulting Output to operate, secure, provide, and improve the service. We may also create, retain, and use aggregated and/or de-identified data derived from your use to analyze, develop, and improve our products, models, and methodology.

You represent and warrant that you have all rights necessary to submit Your Content and to grant this license, and that Your Content does not violate any law or third-party right.

We provide the service on a commercially reasonable basis and do not guarantee that it will be uninterrupted, timely, secure, or error-free, or that any defect will be corrected. We may modify, suspend, limit, or discontinue all or any part of the service — including any feature, plan, or monitoring cadence — at any time. We may suspend or terminate your access at our discretion, including for actual or suspected breach, non-payment, or risk to the service, us, or others.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU USE KAIROSY AND THE OUTPUT AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROSY AND ITS OWNERS, EMPLOYEES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THE OUTPUT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not fully apply to you; in that case, our liability is limited to the smallest extent permitted by law.

You will defend, indemnify, and hold harmless Kairosy and its owners, employees, suppliers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to Your Content, your use of the service, or your violation of these Terms, applicable law, or any third-party right.

These Terms apply for as long as you use Kairosy. You may stop using the service and cancel at any time. We may suspend or terminate your access as described above. On termination, your license ends and we may delete or de-identify your data, subject to our Privacy Policy and any legal retention obligations.

Provisions that by their nature should survive termination — including intellectual property, Your Content license, disclaimers, limitation of liability, indemnification, and governing law — will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or a notice in the app). Changes take effect on the date stated, and your continued use of Kairosy after that date constitutes acceptance. If you do not agree, stop using the service.

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. You and Kairosy submit to the exclusive jurisdiction of the courts of Singapore.

To the maximum extent permitted by law, you agree that any dispute will be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative action.

These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and us and supersede any prior agreements on this subject. If any provision is held unenforceable, the remaining provisions stay in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control.
